With a number of business model available to foreigners in China, Jay & Shaw can advise you which one can best meet your needs. The following is a brief explanation of the business types available:

•  WOFE (Wholly Owned Foreign Enterprise) – a limited liability company which is wholly owned by the foreign investor(s). The minimum registered capital required for the WFOE varies for different industries.

•  Representative Office (RO) - a business association which is setup in China, to represent its overseas parent company. This is not an independent legal entity and it can be used for market research activities or for building associations with Chinese businesses and customers.

•  Foreign-Invested Partnership Enterprise (FIPE) – either a general or limited partnership which is made up of at least one foreign partner. Both foreign individuals and legal entities can be partners of a FIPE. This is usually the most convenient way for foreigners to set up business in China.

•  Foreign-Invested Joint Venture (JV) - foreign companies, enterprises and other economic organizations or individuals can establish a joint equity venture with Chinese companies, enterprises and other economic organizations. Both parties of the venture share the profits, risks and losses in proportion to their contributions to the registered capital.
